AMD agrees to $8.2 billion World Labs acquisition, bringing in Fei-Fei Li

The all-stock deal gives AMD an in-house team building 3D world models and will make Fei-Fei Li its chief scientist at closing, as the chipmaker tries to shape AI workloads, not just run them.

The 60-second brief

  • 1AMD will pay about $8.2 billion in stock for World Labs, with closing expected by the end of 2026.
  • 2Fei-Fei Li will become AMD executive vice president and chief scientist at closing, reporting to CEO Lisa Su.
  • 3Share count will be set by a 10-day average price before closing, so dilution is not yet fixed.

The news

Advanced Micro Devices (AMD) said on September 28, 2026 that it will buy World Labs, the spatial-intelligence startup led by Fei-Fei Li, in an all-stock World Labs acquisition valued at about $8.2 billion, aiming to tie frontier model research directly to its chip roadmap.

San Francisco-based World Labs builds models that generate, reconstruct and simulate interactive 3D environments from text, images and video, according to AMD's announcement. The startup also develops technology for robot learning and simulation. TechCrunch reported that its lead product, Marble, is pitched both for entertainment experiences and for building simulated environments to train robots.

After the deal closes, Li will join AMD as executive vice president and chief scientist, reporting to CEO Lisa Su, and the World Labs team will keep advancing its model research, AMD said. The company expects to close by the end of 2026, subject to regulatory approvals and customary conditions.

A Form 8-K that AMD filed on September 28 adds mechanics. The roughly $8.2 billion in stock is subject to customary adjustments, and the number of shares will be calculated from AMD's volume-weighted average price over the 10 trading days ending two trading days before closing. AMD said it will issue the shares privately, relying on registration exemptions rather than a public offering.

The two companies were not strangers. Li said in a LinkedIn post, as reported by Reuters, that World Labs began a deep technical partnership with AMD in 2025, starting with model training and inference optimization on AMD GPUs. Reuters also reported that World Labs raised $1 billion in a funding round earlier in 2026 that included an investment from AMD.

Why CEOs should care

For technology buyers running AI workloads on AMD hardware, the deal signals where AMD wants its roadmap to go: simulation, robotics and 3D generation, not only large language models. If your company is evaluating AMD accelerators for digital twins, product design or robot training, ask your account team how World Labs' research will change software support and reference designs, and on what timeline. If you already use Marble, ask whether it will stay hardware-neutral, and how pricing and data terms could change after closing.

For CFOs and boards at AMD shareholders, the key variable is dilution. Because the share count is fixed by a trailing average price just before closing, a rising AMD stock means fewer new shares and a falling one means more. Boards weighing their own AI deals can take a lesson from the structure, which pays for talent with equity rather than cash.

For robotics, industrial and media companies, a chip supplier that owns a world-model lab could mean tighter integration between simulation tools and the hardware that runs them. That may lower friction, but it can also deepen vendor lock-in. Procurement teams should keep multi-vendor options open in contracts signed before the market settles.

The bigger picture

Chipmakers are moving up the stack. TechCrunch framed the purchase as part of AMD's effort to compete with Nvidia in building full AI ecosystems, noting that world models matter for robots, autonomous vehicles and humanoids, where real-world training data is scarce and synthetic environments help fill the gap. The deal also arrives as investors reward AMD's AI push: according to a TechStartups roundup citing Reuters, AMD shares rose about 9.6% on September 21 to a record $613.31, lifting its market value past $1 trillion for the first time.

The deal also follows a familiar sequence in AI: a hardware supplier partners with a model developer on optimization, takes a minority stake, then buys it outright. Here the technical partnership came first, in 2025, and AMD's investment followed through World Labs' $1 billion round earlier in 2026, according to Reuters. Strategic minority stakes like that can become options on full ownership. Boards with corporate venture arms should consider that path when negotiating rights in early deals.

What’s next

Watch for regulatory filings and any review timeline, the final share count once the averaging window sets, and how quickly AMD folds World Labs' models into its developer tools. Li's appointment takes effect only at closing, which AMD targets before the end of 2026.

What “Fact-checked” means

Fact-checking means testing a story’s facts against the evidence before it is published. This story went through at least two separate checks before this version was published.

What we checked
Its names, figures, dates, job titles, quotes and who said what were checked against the story’s sources, including its main source where it could be opened. The headline was checked for accuracy and overstatement.
How
A first check reviewed the whole story. If it passed, a second, skeptical check went back to the sources to look for mistakes in the most important facts. If a check flagged the story, it was edited to fix the problems found, and a separate re-check then reviewed the whole story again.
Who
The checks are made by our newsroom, as steps kept separate from the writing, under rules set by our editor, . A story the checks still flag is held for the editor, who decides whether it is fixed, published or dropped.
If something is wrong
“Fact-checked” does not mean error-free. If a material error is found after publication, we correct the story and add a note saying what changed. Report an error
